DAGsHub Ltd. ("We", "Our", "Us", or "DAGsHub") welcomes you ("User", "You", or "Your") to our website at https://www.dagshub.com (the "Platform" or the "Site"). DAGsHub is a web platform enabling data and pipeline versioning for machine learning and data science projects. We help automate your workflow so that experiment reproducibility and collaboration are easy.
Please read these terms of service (the "Terms") carefully. The Terms govern your use of the Platform and all the services and products available through the Platform. The Platform or Site as well as the products, services, and features, will be called the "Services".
In addition to these Terms, please also review our Privacy Policy, available at https://dagshub.com/privacy, which forms an integral part of these Terms, along with such other policies of which you may be notified of by us from time to time.
Short: If you don't agree to any of these terms, don't use the Services.
By accessing the Platform or using the Services you are agreeing to be bound by these Terms, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing this Site. The materials contained in this website are protected by applicable copyright and trademark law.
Short: Changes to the terms or services may happen at any time and for any reason. We will notify Users that have provided an email address of any changes as well as post a notice on the Site.
DAGsHub may revise these Terms for its Site at any time at our sole discretion. In the event of material changes, we will notify Users via e-mail. If at any point you do not agree to be bound by the Terms, please stop using the Services immediately. By using this Site you are agreeing to be bound by the then current version of these terms of service. We reserve the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.
Short: To create a DAGsHub User account you must be a human, over the age of 13, provide your correct and
legal information, and be responsible for the security and content of your account.
We will keep some of your information provided in the sign-up process to provide and improve the Services.
You can choose the account plan which is suitable for you. Some plans are free, others cost money, and each has
limitations. If you exceed limitations, you might incur fees. If you manage an organization, you are responsible
for users in the organization, which might be able to subscribe to paid services, delete or download code or
data. You should pay attention to which access rights users in your organization have, and make sure they comply
with these terms.
Short: Some plans on DAGsHub cost money. If you select to subscribe to a paid plan, you will pay the appropriate amount. Subscriptions renew automatically, and must be cancelled 30 days in advance. We can terminate your account if fees are past due. The prices do not include applicable taxes
Short: The trademarked and copyrighted material that belongs to DAGsHub or our third-party licensors and suppliers shouldn't be used in any way except those that are intended on the site.
We use the Services to provide materials that are protected by copyright and/or trademark and that belong to DAGsHub or its third-party licensor and suppliers (the "Materials").
The Materials may include but are not limited to text, code, graphics, software, data, video, and audio.
In compliance with these Terms, permission is hereby granted to a limited, non-exclusive, and non-transferable license, without the right to sub-license, sell, lease, lend, rent, or otherwise distribute, to view and use the Platform, its Materials and its API solely internally as intended through the provided functions and features of the Platform.
Short: We expect you to respect our things, so we respect yours. Everything you submit to our Platform is yours. Additionally, you are responsible for all of the things you post to the site including that you have the right to use them and that they comply with the law and these Terms.
While using the Services, any text, code, graphics, software, data, video, audio, and other works of authorship posted, generated, provided, or contributed by the Users, publicly or privately shall be collectively defined as "User Content".
You are solely responsible for the User Content that you provide to the Services, including but not limited to its legality, reliability, and it's complying with these Terms. You acknowledge that the Service is not designed for use in connection with the processing of personal data or other sensitive materials. You represent that (i) you have the necessary permissions and rights if those exist, to submit or generate the User Content on the Platform; (ii) you have fully complied with any third-party licenses, permits, and authorizations required in connection with such User Content; (iii) the User Content does not contain any viruses, worms, Trojan horses or other harmful or destructive code or content; (iv) the User Content is not: (a) defamatory or libelous, (b) fraudulent, false, misleading or deceptive (c) promotes discrimination, racism, hatred, or violence; and (iv) the User Content does not violate the right of privacy or publicity of any third party or is not otherwise illegal. By submitting User Content to the Platform you represent that you own the content or have the right to use it; and that the copying, uploading, and use of the User Content does not infringe upon any third party's proprietary rights, including intellectual property rights.
DAGsHub claims no intellectual property rights over the material you provide to the Platform. Your profile and all materials uploaded remain yours. By setting or using a public page or repository, you agree to allow others to view your User Content, as well as granting DAGsHub a non-exclusive, royalty-free, limited worldwide license to access and use the User Content in an anonymous manner to improve our Services, make recommendations to you and other Users, and change or develop the Platform, the Services or any other features.
The materials appearing on DAGsHub's website could include technical, typographical, or photographic errors. DAGsHub does not warrant that any of the materials on its website are accurate, complete, or current. DAGsHub may make changes to the materials contained on its website at any time without notice. However, DAGsHub does not make any commitment to update the materials.
DagsHub may use User's brand on the website for the sole purpose of identifying User as a customer. Any other use of User's logo will require prior written approval of User.
All rights not expressly granted to you under these Terms are reserved by DAGsHub and its licensors. We and our licensors reserve all rights, titles, and interest to the Services, the Platform, and any of their related intellectual property rights. The Terms do not convey to you an interest in or to DAGsHub’s intellectual property rights. Nothing in the Terms constitutes a waiver of DAGsHub’s Intellectual Property Rights under any law. To the extent you provide us any feedback, comments, or suggestions ("Feedback"), you grant us a royalty-free, fully paid up, worldwide, perpetual and irrevocable license to incorporate the Feedback into the Services or any of our current or future products or services.
DAGsHub has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by DAGsHub of the site. Use of any such linked website is at the user's own risk.
Certain items of software used as part of the Platform are subject to "open sources" and/or "free software" licenses ("Third-Party Resources"). Some of these items are owned by third parties. These Third-Party Resources are subject to the terms of the end-user license agreement that accompanies such resources. DAGsHub is not responsible for Third-Party Resources, and you assume responsibility and risk for using these Third-Party Resources.
You agree to defend, indemnify and hold harmless DAGsHub, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, or expenses (including but not limited to attorneys' fees), to the extent allowed by applicable law, that arises from or are caused by:
This section shall survive these Terms and your use and termination of the Services.
DAGsHub may terminate your access to all or any part of the Platform at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your subscription to these Terms, you can discontinue using the Platform. Any and all provision of Terms that, by their definition, survive termination shall survive termination, including, without limitations ownership provisions, warranty disclaimers indemnity, and limitations of liability.
Short: You understand that DAGsHub, its Platform, and Services, may contain defects. We do not make any representations or warranties regarding the USE, RELIABILITY, PERFORMANCE, OPERATION, BEHAVIOR, DATA PORTABILITY or COMPATIBILITY, AVAILABILITY, and SUPPORT.
The materials on DAGsHub's website are provided on an 'as is' basis. DAGsHub makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
Further, DAGsHub does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.
DAGsHub does not make any representations regarding compatibility or availability of the Platform or Services to you or any third party in the future. The use of the Platform is entirely of your own volition. Features may be added or removed, or modified (including but not limited to adding payment requirements) without notice and at DAGsHub's sole discretion.
In no event shall DAGsHub or any of its affiliates, its suppliers or licensors, be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on DAGsHub's website, even if DAGsHub or a DAGsHub authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DAGSHUB’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR TO THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
If any provision of this document is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way.
Short: If you have any issue or dispute, you agree to first try to resolve it in friendly, good faith negotiations.
The parties will engage in good faith negotiations to resolve the dispute for a period of ten (10) business days after written notice of the dispute or issue is provided by one party to the other. Within ten (10) business days, representatives from each party will engage in negotiations to resolve the dispute, and such individuals will meet in person, via video conference, or via telephone and attempt to informally resolve the dispute or issues. If those persons are unable to resolve the dispute within such ten (10) business days, then unless the parties have mutually agreed to extend the negotiation period, a party may exercise its rights available to such party under these Terms or otherwise.
